Acceptance of Terms

Welcome to Onsomble. These Terms of Service ("Terms") govern your access to and use of the Onsomble platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Onsomble Limited, a company registered in New Zealand (Company Number: 9423254, NZBN: 94-29053611901) ("Onsomble," "we," "us," or "our"). For full company details, see our Imprint page.

Description of Service

Onsomble is an Agent Engine Optimisation (AEO) platform that helps businesses understand and improve how they are represented by AI assistants. The Service provides:

  • AEO Scanning: Monitor and track how AI assistants such as ChatGPT, Claude, Gemini, and Perplexity represent your business by submitting queries to these services and analysing their responses
  • Visibility Benchmarking: Measure citation frequency, share of voice, sentiment, and accuracy relative to specified competitors
  • Recommendations: Receive actionable guidance to improve your AI discoverability based on scan results
  • Historical Tracking: Track changes in your AI visibility over time through regular scans

The Service does not assess or analyse data beyond the functionalities described above. Onsomble does not directly promote or influence your visibility within AI assistants — it provides the analysis and recommendations for you to act on.

We may update, improve, or modify the Service from time to time. We will provide at least 30 days' notice for changes that materially reduce core functionality available under your current subscription.

User Accounts

Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the accuracy of your account information
  • Have the authority to agree to these Terms on behalf of yourself or the organisation you represent

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in settings. Upon termination, you may request an export of your data for up to 30 days after your account is closed (see Data Portability and Export).

Termination or Suspension by Onsomble

We may suspend or terminate your account in the following circumstances:

  • For serious violations (including fraud, illegal activity, or activity that threatens the security or integrity of the Service): we may suspend your account immediately and will notify you of the reason as soon as practicable
  • For other breaches of these Terms: we will provide you with written notice and a reasonable opportunity (at least 14 days) to remedy the breach before terminating your account
  • For non-payment: we will notify you and provide at least 14 days to resolve the payment issue before suspending access

Upon termination by Onsomble, you will have 30 days to request an export of your data. After this period, your data will be handled in accordance with our Privacy Policy.

Acceptable Use Policy

You agree not to use the Service to:

Prohibited Content

  • Upload, store, or share illegal content
  • Distribute malware, viruses, or harmful code
  • Share content that infringes intellectual property rights
  • Post defamatory, harassing, or threatening content
  • Distribute spam or unsolicited communications
  • Upload content that violates export control laws

Prohibited Activities

  • Attempt to gain unauthorised access to the Service or other accounts
  • Interfere with or disrupt the Service infrastructure
  • Circumvent usage limits, rate limiting, or security measures
  • Reverse engineer, decompile, or disassemble the Service software or algorithms
  • Use automated tools to scrape or extract data from the Service beyond what is provided through your account
  • Resell or redistribute the Service without authorisation

AEO Scanning Guidelines

  • AEO scanning is a competitive intelligence tool — scanning competitors for visibility benchmarking is a permitted and intended use of the Service
  • You may share scan results with your clients, team members, or stakeholders for legitimate business purposes
  • You may not misrepresent scan results as independently verified market research or as endorsed by the AI services queried
  • You may not use the Service to conduct scans for the purpose of harassing, defaming, or unfairly disparaging a competitor
  • You are responsible for ensuring your use of scan results complies with applicable laws in your jurisdiction

Your Content and Data

Content Categories

For the purposes of these Terms, your content is categorised as follows:

  • Customer Data:Information you provide to use the Service, including your account details, business name, website URL, competitor names and URLs, industry context, and custom queries ("Customer Data")
  • Scan Outputs:Responses returned by third-party AI services in the course of providing the Service, including citation data, visibility metrics, and AI-generated commentary about your business and competitors ("Scan Outputs")

Ownership of Customer Data

You retain all rights to the Customer Data you provide to Onsomble. We do not claim ownership of your Customer Data.

Scan Output Rights

Scan Outputs are generated by third-party AI services and are not your proprietary content. You acknowledge that:

  • Scan Outputs reflect what third-party AI services say in response to queries — similar queries may produce similar responses for other users of those services
  • Neither you nor Onsomble claims copyright ownership over raw AI service responses
  • You are granted a non-exclusive licence to use Scan Outputs for your internal business purposes, including sharing with your clients and stakeholders

License Grant

By providing Customer Data, you grant Onsomble a non-exclusive, worldwide, royalty-free licence to process and use that data only to the extent necessary to perform the Service and fulfil our contractual obligations. We do not use your Customer Data for advertising or sell it to third parties.

Aggregated Data

Onsomble may create and use de-identified, aggregated data derived from the Service (such as industry-level visibility trends or benchmark statistics). Such aggregate data does not identify you or your business and may be used by Onsomble without restriction.

Content Responsibility

You are responsible for the Customer Data you provide and represent that:

  • You have all necessary rights to provide the business and competitor information used in scans
  • The Customer Data does not infringe any third-party rights
  • The Customer Data complies with all applicable laws

Subscription and Billing

Subscription Plans

The Service is offered through subscription plans with varying features and usage allocations. Current plans, pricing, and included features are described on our pricing page, which is incorporated into these Terms by reference.

Billing and Payments

  • Subscription fees are billed in advance
  • All fees are stated in the currency indicated on the pricing page
  • You are responsible for any applicable taxes in your jurisdiction

Refunds

Subscription fees are generally non-refundable. However, refunds may be provided:

  • As required by applicable consumer protection law
  • At our discretion for service issues or outages
  • Within 14 days of initial subscription purchase if you have not used the Service

Price Changes

We may change our pricing at any time. Price changes for existing subscriptions will take effect at the next billing cycle, with at least 30 days' notice. If a price increase is unacceptable to you, you may cancel your subscription before the new pricing takes effect.

Intellectual Property

Onsomble's Rights

The Service, including its software, algorithms, scanning methodology, and all associated content, features, and functionality (excluding Customer Data), is the exclusive property of Onsomble Limited and is protected by copyright, trademark, and other intellectual property laws.

Your Use of the Service

Subject to these Terms and for the duration of your subscription, you are granted a non-exclusive licence to access and use the Service for your business purposes, including preparing reports and deliverables for your clients.

Third-Party References

AEO scan results reference third-party AI service names (such as ChatGPT, Claude, Gemini, and Perplexity) and competitor business names for informational and comparative purposes. All third-party names and trademarks remain the property of their respective owners.

AEO Scan Results and AI Outputs

How Scan Results Are Produced

AEO scan results are produced by submitting queries to third-party AI services and analysing their responses. The quality and accuracy of scan results depend on the responses returned by these third-party services, which Onsomble does not control.

No Guaranteed Results

Onsomble does not warrant that scan results will meet your expectations, be error-free, or reflect the actual market position of your business. Scan results reflect what AI services say about a business at a specific point in time — responses may vary between scans and between AI services.

Not Professional Advice

Scan results and recommendations are informational tools. They are not a substitute for professional market research, SEO auditing, or competitive intelligence services. You should exercise your own judgement when making business decisions based on scan results.

Your Responsibility

You are responsible for:

  • Evaluating scan results in the context of your own business knowledge
  • How you use and act on scan data, including any competitive benchmarking information
  • Ensuring your use of scan results complies with applicable laws

Third-Party Services

The Service relies on third-party services that Onsomble selects and manages. A full list of third-party service providers, the data they process, and their categories is maintained in our Privacy Policy.

AEO Scanning Services

AEO scans query the following AI services: OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), Perplexity, and OpenRouter. Browser automation is provided by Browserbase, and web search enrichment by Tavily. The availability of these services is outside Onsomble's control — if a third-party service ceases to provide a necessary component, we will inform you and work to find a suitable alternative.

Our Responsibility for Sub-Processors

Onsomble selects and manages the third-party services used to deliver the Service. We exercise due diligence in selecting these providers and maintain data processing agreements with them. We accept responsibility for the performance of sub-processors we select, to the extent their performance affects the delivery of the Service to you.

Service Availability

We do not control access to third-party AI services and do not warrant that the Service will be completely error-free or uninterrupted. We will use commercially reasonable efforts to promptly address any material service issues and to maintain the availability of the Service. We will provide reasonable notice for planned maintenance where practicable.

Disclaimers and Limitation of Liability

Service Standard

Onsomble will use commercially reasonable efforts to provide the Service in accordance with these Terms. We do not warrant that the Service will be uninterrupted, completely error-free, or that scan results will meet your specific expectations.

Limitation of Liability

For ordinary negligence in breach of essential contractual obligations, our liability is limited to the damage that was foreseeable at the time the agreement was entered into and that is typical for this type of service. Essential contractual obligations are those whose fulfilment is necessary to achieve the purpose of this agreement.

This limitation does not apply to liability for intentional misconduct, gross negligence, or liability that cannot be excluded or limited by applicable law.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Statutory Rights

Nothing in these Terms excludes or limits any rights you may have under applicable consumer protection legislation that cannot be excluded or limited by agreement. Where such legislation applies, our liability is limited to the maximum extent permitted by that legislation.

Indemnification

You agree to indemnify and hold harmless Onsomble Limited, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising directly from:

  • Your breach of these Terms
  • Your Customer Data infringing the rights of a third party
  • Your violation of any applicable laws
  • Your misuse or misrepresentation of scan results in a way that causes harm to a third party

This indemnification obligation does not apply to the extent that a claim arises from Onsomble's own negligence, wilful misconduct, or breach of these Terms.

Data Portability and Export

You may request an export of your data at any time by contacting us at [email protected]. We will provide your data in a standard, machine-readable format within a reasonable timeframe (typically within 30 days).

Exportable data includes:

  • Your account information
  • AEO scan history and results
  • Usage and activity records

Upon termination of your account (whether by you or by Onsomble), you have 30 days to request a data export. After this period, your data will be handled in accordance with our Privacy Policy.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, including but not limited to:

  • Your Customer Data, scan results, and competitive benchmarking information
  • Onsomble's proprietary scanning methodology, algorithms, and business information

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party before disclosure
  • Is independently developed by the receiving party
  • Is required to be disclosed by law or valid legal process

Onsomble will not access, use, or disclose your Customer Data or scan results except as necessary to provide the Service or as otherwise permitted under these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

Any legal action or proceeding relating to these Terms or the Service shall be brought in the courts of New Zealand, and you consent to the jurisdiction of such courts. Nothing in this clause limits any rights you may have to bring proceedings in the courts of your own jurisdiction under applicable consumer protection legislation.

Dispute Resolution

If you have a dispute with us, we encourage you to first contact us at [email protected] to attempt to resolve the dispute informally.

For disputes that cannot be resolved informally within 30 days, you agree to participate in good faith mediation before pursuing any legal action. Mediation will be conducted under the rules of the Arbitrators' and Mediators' Institute of New Zealand (AMINZ), with costs shared equally between the parties.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property or data security.

Changes to Terms

We may update these Terms from time to time. When we do, we will:

  • Post the revised Terms on this page
  • Update the "Last updated" date
  • Notify you by email or through the Service at least 30 days before material changes take effect (if you have an account)

For material changes that reduce your rights or increase your obligations, we will seek your affirmative consent before the changes take effect. If you do not consent, you may terminate your subscription and request a data export without penalty.

For non-material changes (such as clarifications or corrections), your continued use of the Service after the changes take effect constitutes acceptance.

General Provisions

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond the party's reasonable control, including but not limited to natural disasters, government actions, pandemic, cyberattacks, or third-party service provider outages. The affected party will notify the other party as soon as practicable and use reasonable efforts to mitigate the impact.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Onsomble may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee assumes the obligations under these Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, removed. The remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any subscription plan terms, constitute the entire agreement between you and Onsomble regarding the Service and supersede all prior agreements and understandings.

Notices

Notices to you will be sent to the email address associated with your account or displayed within the Service. Notices to Onsomble should be sent to [email protected]. Notices are deemed received when delivered by email or when displayed within the Service.
